1. Introduction

These Terms & Conditions (“Terms”) govern your access to and use of Infrastructure Repository Cloud (“InfraRepo,” “we,” “our,” or “us”), including our website, user portal, repository access services, subscriptions, support functions, and related features.

By accessing or using InfraRepo, you agree to be bound by these Terms.

2. Service Description

InfraRepo is a commercial cloud access platform that provides users with structured access to enterprise vendor repositories, technical files, product resources, and related support services, subject to subscription level, access approvals, usage limits, and account status.

3. Eligibility

You must be legally capable of entering into a binding agreement and must use the service only for lawful business or professional purposes. If you use InfraRepo on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms.

4. Accounts and Access

To use certain features, you may need to create an account and authenticate through our login or SSO systems.

You agree to:

  • Provide accurate and current information
  • Keep login credentials confidential
  • Be responsible for all activity under your account
  • Notify us promptly of unauthorized use or security concerns

We may suspend, restrict, or terminate access if we reasonably believe an account is being misused or used in violation of these Terms.

5. Subscription Plans and Access Levels

InfraRepo may offer different subscription plans, trial/demo access, approval-based plans, partner access, storage limits, speed limits, download allowances, and support levels.

Plan descriptions, usage limits, and features shown on the website or order pages form part of the service offer applicable to your selected plan. Access may be limited by:

  • Brand entitlement
  • Repository scope
  • Daily or monthly data quotas
  • Storage allowances
  • File-sharing limits
  • Approval requirements
  • Account expiration or non-payment

6. Orders, Billing, and Renewals

Paid plans require payment of the listed fees unless otherwise agreed in writing. By purchasing a plan, you authorize us or our payment processor to charge the applicable fees, taxes, and recurring renewal charges where relevant.

We reserve the right to:

  • Change pricing for future billing periods
  • Refuse or cancel orders where necessary
  • Suspend access for failed or overdue payments
  • Apply reasonable verification before activating service access

7. Refunds and Cancellations

Users may request a refund only within four (4) calendar days from the date of first access to the purchased paid service. After this period, the service shall be considered accepted and used, and no refund will be available.

Refunds will not be provided in any of the following cases:

  • The user previously received Starter Demo Access before purchasing a paid plan, since the demo provides an opportunity to evaluate the platform and understand the service before purchase.
  • The user has downloaded more than two (2) files after activation of the paid service.
  • The refund request is submitted more than four (4) calendar days after first access to the purchased service.
  • The service was suspended, restricted, or terminated because of misuse, abuse, violation of platform rules, or breach of these Terms.

For the avoidance of doubt, prior use of demo access shall be considered a sufficient opportunity to evaluate the service before purchase. Downloading more than two files shall be considered substantial use of the service, as such files may already include the exact content needed by the user.

Any refund approved by InfraRepo, if granted at our sole discretion, will apply only to the subscription fee actually paid and will not include non-recoverable payment gateway charges, taxes, processing fees, currency conversion fees, or other third-party costs.

8. Demo and Approval-Based Access

Free demo plans, partner access, or approval-based subscriptions may be offered at our discretion. We may approve, reject, limit, or revoke such access at any time to protect service integrity, vendor content controls, or operational requirements.

9. Permitted Use

You may use InfraRepo only for lawful internal business, engineering, commercial, evaluation, procurement, support, or partner-related purposes consistent with your subscription and permissions.

You must not:

  • Share your account with unauthorized users
  • Attempt to bypass access controls, quotas, or usage limits
  • Upload malicious, unlawful, infringing, or harmful content
  • Resell, redistribute, or publicly publish repository content unless expressly authorized
  • Use automated tools to scrape, harvest, or mass-download content without permission
  • Interfere with platform security, availability, or operations

10. Vendor Content and Intellectual Property

Repository files, documents, product resources, technical materials, and related content available through InfraRepo may belong to InfraRepo, its partners, vendors, licensors, or other rights holders.

Access to content does not transfer ownership. Unless explicitly permitted in writing, users may not copy, distribute, sublicense, commercially exploit, or republish content outside their allowed internal use and authorized business workflow.

11. User-Uploaded Content

Where your plan allows uploads, local storage, case-file submission, or temporary sharing, you remain responsible for the content you upload. You represent that you have the right to upload and share that content and that it does not violate any law, contract, confidentiality duty, or third-party right.

We may remove, suspend, or restrict access to uploaded content if it presents legal, security, operational, or policy concerns.

12. Support and Service Availability

We aim to provide reliable access and support, but uninterrupted availability is not guaranteed. Maintenance, updates, outages, third-party disruptions, abuse controls, or security measures may affect availability from time to time.

Support levels may vary by plan.

13. Suspension and Termination

We may suspend or terminate your access immediately if:

  • You breach these Terms
  • Payment fails or remains overdue
  • Your use creates legal, security, or operational risk
  • Approval-based access is withdrawn
  • We are required to do so by law, contract, or rights-holder obligations

Upon termination, your right to access the service ends immediately, subject to any post-termination rights or obligations stated elsewhere.

14. Disclaimer of Warranties

InfraRepo is provided on an “as available” and “as is” basis to the maximum extent permitted by law. We do not guarantee that:

  • all files will always be available, complete, or current;
  • the service will be uninterrupted or error-free; or
  • the service will meet every specific business, technical, or regulatory requirement.

15. Limitation of Liability

To the fullest extent permitted by law, InfraRepo and its owners, affiliates, officers, employees, contractors, and service providers shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business, opportunity, data, or goodwill arising from use of the service.

Where liability cannot lawfully be excluded, it will be limited to the amount paid by you for the applicable service period giving rise to the claim.

16. Indemnity

You agree to indemnify and hold InfraRepo harmless from claims, liabilities, damages, losses, and expenses arising out of your misuse of the service, violation of these Terms, uploaded content, or infringement of any third-party rights.

17. Privacy

Your use of the service is also governed by our Privacy Policy. By using InfraRepo, you acknowledge that personal data may be processed for account, security, billing, support, and service-delivery purposes.

18. Changes to the Service or Terms

We may modify, suspend, or discontinue any part of the service, and we may update these Terms from time to time. Updated Terms become effective when posted unless otherwise stated.

19. Governing Law and Jurisdiction

These Terms shall be governed by the laws of WWW Insert Jurisdiction, unless another governing law is expressly stated in a signed agreement.

Any dispute shall be subject to the exclusive jurisdiction of the competent courts of Insert Jurisdiction, unless otherwise required by applicable law or agreed in writing.
